Corporate Practice

We routinely advise our clients in all phases of corporate existence from formation through dissolution.  We typically act as general counsel to our business clients with regard to most legal matters and, when appropriate, we can involve other professionals from our network of specialists and advisors.  Examples of the services we regularly provide to our business clients include:

• the formation of all types of business entities, including corporations, limited liability companies, general and limited partnerships and joint ventures


• the preparation of employment agreements, independent contractor agreements and executive compensation arrangements


• the preparation of non-disclosure agreements, non-competition agreements, non-circumvention agreements and licensing agreements


• maintaining corporate records and properly documenting corporate transactions

Transactional Matters

In the course of representing our business clients, we routinely assist them in a broad range of business transactions, some examples of which include the following:

• the negotiation and drafting of agreements for the purchase and sale of businesses (including both stock purchase and asset purchase transactions)


• the preparation of private placement memorandums for both start-ups and mature companies


• the negotiation and documentation of financing transactions and workout agreements (both in and outside the bankruptcy context


• assisting with business restructurings and combinations, including mergers, acquisitions and entity conversions

Real Estate

We regularly advise our business clients with regard to real property matters related to all phases of ownership, including the acquisition, management and disposition of commercial and residential real estate.  We are experienced in the negotiation and drafting of real property purchase and sale agreements, commercial leases and secured lending transactions.  We have also been quite successful in negotiating the resolution of real property disputes and, when appropriate, aggressively litigating such matters on behalf of our clients.
